1. Definitions
- “The Company,” “We,” “Us,” “Our”: Refers to the entity operating the Credit Loan Solution platform.
- “The Platform”: Refers to the website, mobile application, USSD service, or any other digital interface through which the Company provides its Services.
- “User,” “Borrower,” “You”: Refers to any individual, entity, or person who accesses the Platform or uses the Services.
- “Services”: Refers to the provision of digital credit facilities, loan applications, loan processing, and related financial services offered by the Company via the Platform.
- “Loan”: Refers to the principal amount of the credit facility advanced by the Company to the Borrower.
- “Loan Agreement”: The specific legally binding document or digital contract entered into by the Company and the Borrower, which details the principal amount, interest rate, fees, and repayment period of a specific Loan.
2. Acceptance of Terms
2.1. By accessing and using the Platform or the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy.
2.2. If you do not agree to these Terms, you must not use or access the Platform or the Services.
2.3. The Company reserves the right to modify these Terms at any time. Any changes will be posted on the Platform and become effective immediately upon posting. Your continued use of the Services following any such changes constitutes your acceptance of the new Terms.
3. The Services
3.1. The Services allow eligible Users to apply for various credit facilities and loans, subject to the Company’s credit scoring and approval process.
3.2. No Guarantee of Approval: The Company retains the absolute right and discretion to accept, reject, or revoke any loan application or vary the terms of any Loan at any stage without assigning any reason or giving any notice to the User.
3.3. Independent Financial Decision: You acknowledge that the Services are provided for your independent use and decision-making. You are solely responsible for ensuring that any Loan you apply for is suitable for your financial circumstances.
4. User Eligibility and Representations
4.1. Minimum Requirements: To be eligible for the Services, you must:
a) Be an adult of sound mind (18 years or older).
b) Be a legal resident or operating entity in the country/jurisdiction where the Services are offered.
c) Possess a valid means of identification and contact information (e.g., mobile number).
4.2. Accuracy of Information: You certify that all information you provide to the Company during the registration and application process is true, accurate, current, and complete. You agree to notify the Company immediately of any material changes to this information.
4.3. Credit Profile Authorization: You irrevocably authorize the Company to access your credit profile and exchange information with licensed Credit Reference Bureaus (CRBs) for the purpose of assessing your application and, where necessary, for enforcing the repayment of any Loan.
5. Loan Application, Interest, and Repayment
5.1. Application Process: Loan applications shall be submitted exclusively through the channels specified by the Company (e.g., mobile application, USSD, website form).
5.2. Acceptance of Loan: Upon approval, the Loan details, including the principal amount, the applicable interest rate, fees, and the repayment due date, will be communicated to you and incorporated into a binding Loan Agreement.
5.3. Interest and Fees: The Borrower shall pay the principal amount, interest, and any applicable fees (including processing fees, penalty fees, and late payment charges) as stipulated in the Loan Agreement.
5.4. Repayment: Repayment must be made in full by the due date(s) specified in the Loan Agreement and strictly through the designated payment methods provided by the Company (e.g., specific Paybill numbers or bank accounts). The Company reserves the right to vary the designated repayment channels.
5.5. Default: An Event of Default occurs if you fail to pay any amount due under the Loan Agreement by the due date. In the event of Default, the Company reserves the right to:
a) Charge penalties and late payment fees as defined in the Loan Agreement.
b) Report the default to Credit Reference Bureaus.
c) Institute legal proceedings for the recovery of the entire outstanding Loan amount, including accrued interest and costs.
6. Security and Unauthorized Access
6.1. User Security: You are responsible for maintaining the confidentiality and security of your mobile device, PIN, passwords, and any other credentials used to access the Services.
6.2. Authorized Requests: You irrevocably authorize the Company to act on all Requests received by the Company from your designated phone number or account and hold you liable in respect thereof.
6.3. Notification of Breach: You must notify the Company immediately if you become aware that any unauthorized person may have gained access to your device or credentials, or if you suspect any fraudulent activity on your account.
7. Intellectual Property
7.1. All intellectual property rights in the Platform, including content, design, software, and underlying technology, are owned by the Company or its licensors.
7.2. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for the purpose of accessing and using the Services in accordance with these Terms. You shall not copy, reproduce, modify, or create derivative works from the Platform.
8. Disclaimer and Limitation of Liability
8.1. Disclaimer: The Platform and Services are provided on an “AS IS” and “AS AVAILABLE” basis. The Company makes no warranty that the Services will be uninterrupted, error-free, timely, or secure.
8.2. Limitation of Liability: To the maximum extent permitted by law, the Company, its directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, resulting from:
a) Your use or inability to use the Services.
b) Unauthorized access to or alteration of your data or transmissions.
c) Any decision made by you based on information provided through the Services.
9. Communications and Notices
9.1. Electronic Communications: You agree that all notices, agreements, disclosures, and other communications that the Company provides to you electronically (via email, SMS, or posting on the Platform) satisfy any legal requirement that such communications be in writing.
9.2. Governing Language: The governing language of these Terms and all communications shall be English.
10. Governing Law and Dispute Resolution
10.1. Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is primarily registered and offers its Services (e.g., the Republic of Kenya, based on the nature of the operations described in related searches).
10.2. Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms, including the determination of the scope or applicability of this agreement to arbitrate, shall be settled by negotiation between the parties. If negotiation fails, the dispute shall be referred to binding arbitration in accordance with the laws of the governing jurisdiction.
